These Terms of Service are designed to be the central terms for all Cizonet apps and services that link to them, including Calmorah, Praxis, KudiPod, ChopView, HRAP Suite, HRAP Lite, HRAP Edu, Cizonet websites, jobs, training, consulting, recruitment, and future Cizonet products.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Cizonet Solutions Limited ("Cizonet", "we", "us", or "our"). By accessing or using any website, application, product, API, software, training program, recruitment platform, consulting service, support service, or other Cizonet offering that links to these Terms (the "Services"), you agree to these Terms.

If you use the Services on behalf of a company, school, organization, employer, client, or other entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to both you and that entity.

Additional order forms, statements of work, product plans, subscription terms, service descriptions, data processing terms, or written agreements may apply. If those documents conflict with these Terms, the later-signed or more specific document controls for that specific service.

2. Eligibility

You must be able to form a binding contract to use the Services. If you are under 18, you may use the Services only with involvement and permission from a parent, guardian, school, employer, or other authorized organization, and only where the relevant Service permits it.

You may not use the Services if you are prohibited from doing so under applicable law, sanctions, export controls, court order, or prior suspension by Cizonet.

3. Accounts, Workspaces, and Administrators

You are responsible for accurate account information, credential security, user permissions, workspace configuration, and all activity under your account unless caused by Cizonet's breach of these Terms.

Customer organizations may appoint administrators who can manage users, roles, settings, data, billing, integrations, and access. Administrators are responsible for granting access only to authorized users and promptly removing access when it is no longer appropriate.

You must notify us promptly if you suspect unauthorized access, credential compromise, or misuse of any account or workspace.

4. Services and Changes

We may improve, change, suspend, discontinue, or limit parts of the Services from time to time. We will use reasonable efforts to avoid materially reducing paid core functionality during an active subscription term, unless required for security, legal, technical, abuse-prevention, or operational reasons.

Beta, pilot, preview, experimental, free, or trial features are provided for evaluation and may be modified, limited, or withdrawn at any time.

5. Customer Content and Data

"Customer Content" means data, files, text, images, prompts, records, communications, documents, media, database entries, HR records, student records, sales records, inventory records, payroll inputs, menus, product data, or other content that you or your users submit to the Services.

As between you and Cizonet, you retain ownership of Customer Content. You grant Cizonet a limited, worldwide, non-exclusive license to host, process, transmit, display, copy, secure, analyze, and use Customer Content as needed to provide, maintain, protect, improve, and support the Services; comply with law; prevent abuse; and enforce these Terms.

You are responsible for Customer Content, including its accuracy, legality, permissions, consents, notices, and compliance with privacy, employment, education, consumer, intellectual property, and other applicable laws. You must not submit data that you are not authorized to process.

6. AI, Automation, and Decision Support

Some Services may provide AI-assisted features, recommendations, summaries, analytics, predictions, classification, chat, workflow automation, or decision-support tools. These outputs are generated by automated systems and may be incomplete, inaccurate, biased, delayed, or unsuitable for your use case.

You are responsible for reviewing AI outputs before using or relying on them. You must not use AI outputs as the sole basis for legal, financial, employment, education, housing, credit, medical, safety, or similarly high-impact decisions without appropriate human review, lawful basis, notices, safeguards, and required approvals.

7. Subscriptions, Fees, Taxes, and Payments

Paid Services are subject to the fees, billing cycle, renewal terms, usage limits, and payment methods stated in the applicable order, checkout, invoice, or product plan. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.

You authorize Cizonet and its payment processors to charge applicable fees, taxes, renewal fees, usage-based charges, and other amounts due. You are responsible for taxes, duties, bank fees, exchange fees, and payment processor fees except for taxes based on Cizonet's income.

We may suspend or limit paid Services for overdue amounts, failed payments, chargebacks, payment fraud, or material billing disputes not resolved in good faith.

8. Consulting, Training, Recruitment, and Professional Services

Consulting, development, cybersecurity, HR, recruitment, training, implementation, or other professional services are governed by the applicable statement of work, proposal, invoice, engagement letter, or written agreement. Unless otherwise agreed in writing, deliverables are accepted when delivered, and project timelines depend on timely customer cooperation, feedback, access, approvals, and payment.

Recruitment and talent services do not guarantee hiring, placement, employment, retention, performance, visa approval, background results, or candidate availability unless expressly stated in a signed agreement.

9. Acceptable Use

You must comply with our Acceptable Use Policy. You may not use the Services to violate law, infringe rights, attack systems, distribute malware, send spam, exploit children, harass others, evade security controls, scrape without permission, overload infrastructure, or process data without authorization.

We may remove content, restrict features, suspend accounts, throttle usage, block integrations, or terminate access where we reasonably believe there is abuse, security risk, legal risk, or violation of these Terms.

10. Third-Party Services

The Services may integrate with or link to third-party services, including hosting, storage, payments, maps, email, analytics, app stores, social media, fonts, authentication, AI providers, and customer-selected integrations. Third-party services are governed by their own terms and privacy policies.

Cizonet is not responsible for third-party services that we do not control. You authorize us to exchange data with third-party services that you enable or use through the Services.

11. Privacy and Data Processing

Our Privacy Policy explains how we collect, use, share, protect, and retain personal data. Our Cookie Policy explains how our websites and apps use cookies, local storage, and similar technologies.

When Cizonet processes personal data on behalf of a customer as a processor or service provider, our Data Processing Addendum applies if incorporated into the customer's order, contract, or product terms.

12. Intellectual Property

Cizonet and its licensors own all rights, title, and interest in the Services, including software, source code, designs, interfaces, workflows, templates, documentation, logos, trademarks, service marks, product names, content, and underlying technology, except for Customer Content and third-party materials.

You may not copy, modify, reverse engineer, decompile, resell, sublicense, rent, lease, distribute, or create derivative works from the Services except as expressly permitted by law or written agreement.

If you provide feedback or suggestions, you grant Cizonet a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

13. Confidentiality

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only to perform under these Terms or an applicable agreement. Confidential information does not include information that is public, independently developed, rightfully received from another source, or disclosed with permission.

14. Suspension and Termination

You may stop using the Services at any time. Paid subscriptions, cancellations, renewals, and refunds are governed by the applicable plan, order, invoice, or written agreement.

We may suspend or terminate access if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse the Services, infringe rights, or if continued access would harm Cizonet, users, customers, third parties, or the Services.

After termination, your right to use the Services ends. Sections that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, dispute resolution, and governing law.

15. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We do not warrant that the Services will be uninterrupted, error-free, secure, always available, or that data loss will never occur.

We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, Cizonet will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; loss of goodwill; business interruption; loss of data; or cost of substitute services.

To the maximum extent permitted by law, Cizonet's total liability for all claims relating to the Services will not exceed the amounts paid by you to Cizonet for the affected Service during the 12 months before the event giving rise to the claim, or USD 100 if you used a free Service.

Nothing in these Terms limits liability that cannot lawfully be limited, such as liability for fraud, intentional misconduct, or other non-excludable obligations under applicable law.

17. Indemnity

You will defend, indemnify, and hold harmless Cizonet, its directors, officers, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, costs, and expenses arising from your Customer Content, your use of the Services, your violation of these Terms, your violation of law, or your infringement of third-party rights.

18. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules, unless mandatory law requires otherwise. Courts located in the Federal Capital Territory, Abuja, Nigeria will have exclusive jurisdiction for disputes arising from or relating to these Terms or the Services, unless a signed agreement states otherwise or mandatory law requires another forum.

Before filing a claim, each party will try in good faith to resolve the dispute by contacting the other party and giving a reasonable description of the issue and requested resolution.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify users, such as updating the effective date, posting a notice, sending a message, or using another method appropriate to the Services. Continued use after changes become effective means you accept the updated Terms.
